Public offer for services
1. General provisions
This public offer sets out the terms under which a services agreement may be concluded with IMPLESOL LLC. The offer is addressed to interested persons and is considered accepted when the customer performs actions clearly expressing agreement with the stated terms.
Such actions may include registration on the site when required, submission of a service request, payment for services, or any other conduct that clearly confirms acceptance.
2. Subject of the agreement
The contractor undertakes to provide services, and the customer undertakes to pay for such services in the amount, manner, and timing established by the applicable agreement and service request.
The specific composition, amount, and other conditions of services are determined by the information provided during the order process or by the information published on the contractor’s website.
3. Rights and obligations of the parties
The contractor must provide services in accordance with the agreed conditions, ensure lawful processing of customer data, and maintain the confidentiality of such data where required.
The customer must provide accurate information and must not unlawfully reproduce, copy, distribute, or otherwise misuse materials or results obtained under the agreement, except where such use is expressly permitted.
4. Confidentiality and information protection
Information transferred between the parties in connection with service performance may be treated as protected information. This may include local regulations, contracts, letters, reports, analytical materials, research results, schemes, specifications, and other documents in paper or electronic form.
5. Force majeure
The parties are released from liability for non-performance or improper performance caused by force majeure, including extraordinary and unavoidable events such as epidemics, embargoes, fires, floods, earthquakes, and other events beyond reasonable control.
6. Liability
A party that fails to perform or improperly performs its obligations bears liability in accordance with applicable law and the conditions of the relevant agreement. The contractor is not liable where the failure was caused by the customer.
7. Duration and changes
The offer becomes effective from the moment it is published on the website and remains valid until withdrawn. IMPLESOL LLC may amend or revoke the offer at its discretion. Updated terms apply to newly concluded agreements.
8. Applicable law and disputes
The offer and agreements concluded under it are governed by the laws of the Russian Federation. The parties undertake to attempt an amicable settlement before going to court. The pre-trial procedure for dispute resolution is mandatory where required by law.
The Russian language version is the primary legal text for the purposes of interpretation, performance, correspondence, notices, and supporting documents.
